Prevention and ControlAbstract: China's security market started late. The history is short. But such cases of financial fraud continue to occur. This phenomenon is not only in our country, but in the whole world. It has not found a way to truly eliminate it. These financial frauds will have an indelible impact on the security market, and it takes a long time to recover. Not only is it eroding the interests of investors. And it is not conducive to the use of social facilities. Therefore, we should strengthen the research on financial fraud, and take early prevention. We should strengthen the prevention and control of such financial fraud in our country. To promote the healthy and fair development of the security market.
This paper takes Xintai electric financial fraud as an example. First of all, it introduces its fraud cases, and then analyzes the means of its fraud, including four aspects: the reduction of accounts receivable, the preparation of less bad debts, the use of tax incentives and less material cost. After that, the two aspects of financial statements and financial indicators are also analyzed, including the changes in the assets and liabilities items, the composition, the profit table, the internal logical connection between the cash flow statement, the analysis and comparison of the operation ability and profitability of the same industry. Secondly, using the theory of fraudulent risk factors to analyze the motivation of the financial fraud of Xintai electric, we find the lack of legal awareness of the integrity of the company's internal managers. Secondly, in order to go on the market and to keep the market after the market, it is due to the performance of the company in order to protect the city. Counterfeiting is not easy to find, and the punishment is very low after being discovered. All factors combined together make Xintai electric successfully cheat. Finally, aiming at the emergence of fraud, according to the motivation of fraud, we put forward some measures, such as strengthening moral quality construction, introducing external supervisors, high reputation independent directors, implementing audit rotation system and improving illegal costs.

Impairment of GoodwillAbstract: With the sustained and steady growth of China's economy, residents' disposable income has been steadily increasing, and their consumption capacity and desire for cultural products have been continuously enhanced. In recent years, more and more film and television enterprises expand the industrial chain through mergers and acquisitions, layout of new media, and achieve diversified development. Although mergers and acquisitions can expand the scale of the company, optimize the allocation of resources, and accelerate the growth of the enterprise, the merger and acquisition process is full of risks, information asymmetry, unreasonable valuation, etc., and the difficulty of merger and integration will make the enterprise struggling, or even lead to the failure of the merger and acquisition. In mergers and acquisitions, cultural media enterprises mainly buy liquid assets (intangible assets), such as copyright, trademark right, brand, franchise, etc., all of which are difficult to be valued reasonably. Therefore, it is very difficult to reflect it in the book. Therefore, enterprises adopt performance commitment in M &A to protect the interests of investors and owners and reduce M &A risks. However, most of the performance promises are made in the context of predicting the future profits of the acquired enterprises. Due to the uncertainties in the future, there are many problems in the process of fulfilling the performance promises.
Based on a comprehensive search and review of relevant theories on M&A performance commitment of listed companies in the media industry and relevant research literature on Hua Yi Brothers' M&A of Dong yang Mei La, this paper combines theory with practice by comprehensively applying literature research method and case analysis method. First of all, the relevant important theories are briefly summarized. Then, simply introduces the general process of Hua Yi Brothers M&A, and from the M&A motives, the processing of merger goodwill and goodwill impairment to the performance, the influence of root impairment, etc., to study the Hua Yi Brothers M&A Dong yang Mei la, explore the problems of merger and acquisition and reorganization of listed companies goodwill processing, in view of the problem put forward the corresponding countermeasures and Suggestions. Finally, the case of Hua Yi brothers acquiring Dong yang Mei la is summarized.
Through this research, this paper holds that the main reasons for the difficulties of performance commitment fulfillment in M&A and restructuring of listed companies in the media industry are three aspects: high premium and high valuation bring high performance commitment, risk of goodwill impairment and the own attributes of cultural media products. Long-Term CapacityAbstract: At present, the competition in automotive industry is highly competitive, plus, most of SMEs cannot survive by merely relying on their source of production. Hence, using contractor is considered an effective strategy for handling the competition. Therefore, we created a questionnaire researching on our target group, which included individuals involving in automotive parts industry. This is to study 1) factors that influence decision-making of SME entrepreneurs and executives to change their current manufacturing system to Flexible Automation System (FAS) by using outsourcing, as well as, 2) logics and aspects of entrepreneurs and executives who propose the idea of changing the current system to FAS to procure and create a model of FAS Maturity. We found that executives whom proceeded the process all by themselves required higher capital and they also had confidence that they could handle the changing of products easily and rapidly. Moreover, the integration in cost unit was also low. On the other hand, if they used outsourcing, no capital was needed. However, it was in exchange for a long period of planning and if there were any changes, they had to not affect overall supply chain of the contractor. Plus, the cost unit of this way was higher than the other mentioned. At the same time, we discovered that investment factors of entrepreneurs in the target group were in high level. When considering topic by topic, it showed that the main point was to recognize manufacturing policy that the government would support SMEs in any kinds of investment. For example, the industry policy of Thailand 4.0 and the S Curve direction have both direct and indirect effects on executives’ decision-making in seeking manufacturing involving FAS and it is found that government support have a direct effect in positive to long-term capacity and the statistical significance is at the level of 0.01 and path coefficient has the highest value at 0.785. For problems in this research, we surveyed the target group in the supply chain of automotive parts industry. The significant finding illustrated that factors that mostly affect entrepreneurs’ decision-making are competitive factors in quality, price, durability and quantity or flexibility of flexible automation system. However, an external factor that matters is Thailand’s 20-year strategy, which mentioned that the government will support automotive industry
As a result, this research found that executives should have standards to manage internal issues, such as improvement processes, before relying on any external factors. Thus, they can succeed in making a decision whether they need Flexible Automation System procurement outsourcing.
Structural equation model have Influencing to A Decision Making Model for outsourcing Flexible Automation System(FAS)in automotive Industry to SMEs Entrepreneurs and Executives in Thailand , found that the components of all 5 factors of latent variable the Process Improvement, Government Support, Long-Term Capacity ,Competitive Priority ,Adopting Flexible Automation and Confirmatory model of the variable question is consistent with the empirical data which can be considered from 2 = 275.34, df = 251, p-value = 0.13952, RMSEA = 0.018, GFI =0.936 และ AGFI = 0.911
In conclusion, every question has passed the criteria and can be used to analyze the SEM of the research. Influencing to A Decision Making Model for outsourcing Flexible Automation System (FAS)in automotive Industry to SMEs Entrepreneurs and Executives in Thailand. Intellectual capitalAbstract: The objectives of this study were to investigate the effects of industry-university collaboration on enterprises’ intellectual capital, and studied the factors of industry-university collaboration on enterprises’ intellectual capital from the perspective of cross-organizational relationship management.
Survey questionnaire was used to collect the data from 406 high-tech enterprises in Zhejiang province using purposive sampling. Used exploratory factor analysis, identify and analyze the key factors that effects the enterprises’ intellectual capital by industry-university collaboration. Linear multiple regression is used to analyze the variables and to test the hypothesis. Exploratory factor analysis reveals that the impact factors of the industry-university relationship.
The study found that the related industry-university collaboration relationship had a positive effect on enterprises’ intellectual capital, while the transactional relationship had a positive effect on human capital and structure capital, but had no significant positive effect on relationship capital. Therefore, enterprises should attach importance to the establishment of related relationship with universities and further enhance enterprises’ intellectual capital through effective cross-organizational management. Economic ModelAbstract: The context of Special Economic Zone (SEZ) is the discourse in economic development concept at this era. Eastern economic corridor (EEC) is one of type of special economic zone in Thailand which Thai government is driving it becomes the mega project of the country. With huge money invested and expected return may be a channel for national development in the future. However, statement of problems were focus the current situation that project is on the right way to study. So, this research was set up in 2 research questions and research objectives in consistency supports, and finding out for improvements.
With the research methodology, the author has designed the research as a mix of qualitative and quantitative methods, in order to cover the content and details clearly on the topic of education. The data can be analyzed logically. Document research that the researcher uses the process of studying and analyzing data by reviewing relevant theoretical and literary concepts. The study was based on academic papers, research papers, academia articles. Both domestic and international, including academic information obtained from electronic media search or web site. To provide author with the information that need and to re-invent the data to cover the realities.
By the conceptual of framework for collecting the data from Eastern Special Development Zone Committee (ESDZ) Key Contributors to research or Key Informants as Population and Sample size in this research, the author refer the concept of Organization Management in Management level to analyze the order of the key informants. By priority, the author integrated from the conceptual in operation process management for key contributor or key informant to research. There are 2 main divisions in functions. One as Policy maker and another as the Practical or Operational actors and key informants or experts from both of them have to work together as the same section of the government organization but difference level of division.
For research objective which aimed to find out the current situation of EEC that impact on Thailand Development, this research study found that EEC had impact by influential factors including organization development, Mckinsey’s concept with Social relation, Kotler’s concept with Productivity, and Thailand development in policy and plan.
From completely analysis of ESDZ Key Informants in Organization Development concept, they had strongest agree in EEC enhance related organizing development and by average was at very high level. Similarly, completely analysis of ESDZ Key Informants in Mckinsey and Social relation concept, they had strongest agree in EEC has administrative persons, and gave importance administrative participation, and by average was at very high level In the same way, completely analysis of ESDZ Key Informants in Kotler and Productivity concept, they had strongest agree in EEC has service proposal, managing personal, and service productivities and by average was at very high level. As with completely analysis of ESDZ Key Informants in Eastern Economic Development Zone concept, they had strongest agree in EEC is spread prosperity project to region, and by average was at very high level.
By the result of this study, almost of key informants have the opinions in the same directions that means hypothesis and its subcomponents in each concept/component on frequency of positive comments were passed, no any frequency of negative comments presented. By average, Frequency Distribution in almost Strongly Agreement or Very High in Class Intervals. Xi’an cityAbstract: Intangible Cultural Heritage (ICH) souvenir is a special one which can meet the Chinese tourists’ cultural and characteristic needs for souvenirs in China. And tourists’ purchasing ICH souvenir can promote safeguarding ICH. To predict customer behavior, it is necessary to understand the customers’ intention. However it was found that very little research had been conducted regarding the relationship between purchase intention for ICH souvenir and its antecedents. The purpose of the study was to examine the impact of perceived value dimensions on purchase intention and the moderating role of attitude towards safeguarding ICH between them. This study conducted an empirical study on ICH souvenir in Xi’an city.
The finding indicated that the five perceived values namely perceived functional value, epistemic value, self-efficacy value, relationship support value and price value had significant impacts on purchase intention for ICH souvenir. By hierarchy regression tests, the findings also showed attitude towards safeguarding ICH did not play moderating role between perceived functional value, epistemic value, self-efficacy value, relationship support value and purchase intention; but played a moderating role between perceived price value and purchase intention for ICH souvenir. The findings provided valuable information for tourism enterprises and government agencies. Psychological CapitalAbstract: Due to the changing environment and intense competition, innovation has become an important strategy for organizations to retain their competitive ability and employees’ innovative behavior has been the key successful factor in promoting business competition. Based on the Social Cognitive Theory, the purpose of this research was to study the impacts of coaching leadership and psychological capital on employee’s innovative behavior in high-tech enterprises in Henan province , China.
The study used a quantitative design, data were collected through a questionnaire from the high-tech enterprises located in Henan province, China. A sample of 400 participants were studied in this research. The SPSS 21.0 statistical analysis packages were used to analyze the data. Independent T-test, One-way ANOVA, Pearson coefficient and multiple regression were used to test data variables and to test the hypothesis.
The results showed that: (1) There is a significant impact of coaching leadership on employee innovative behavior ( γ = 0.35, p < 0.05);. (2) There is a significant impact of psychological capital on employee innovative behavior( γ = 0.47, p < 0.05). Our findings suggest that organizations should pay attention to their coaching leadership training program, which is significant affect their employees’ innovative behavior. In addition, their employees’ psychological capital have a great impact on their innovation.
