Prevention and ControlAbstract: China's security market started late. The history is short. But such cases of financial fraud continue to occur. This phenomenon is not only in our country, but in the whole world. It has not found a way to truly eliminate it. These financial frauds will have an indelible impact on the security market, and it takes a long time to recover. Not only is it eroding the interests of investors. And it is not conducive to the use of social facilities. Therefore, we should strengthen the research on financial fraud, and take early prevention. We should strengthen the prevention and control of such financial fraud in our country. To promote the healthy and fair development of the security market.
This paper takes Xintai electric financial fraud as an example. First of all, it introduces its fraud cases, and then analyzes the means of its fraud, including four aspects: the reduction of accounts receivable, the preparation of less bad debts, the use of tax incentives and less material cost. After that, the two aspects of financial statements and financial indicators are also analyzed, including the changes in the assets and liabilities items, the composition, the profit table, the internal logical connection between the cash flow statement, the analysis and comparison of the operation ability and profitability of the same industry. Secondly, using the theory of fraudulent risk factors to analyze the motivation of the financial fraud of Xintai electric, we find the lack of legal awareness of the integrity of the company's internal managers. Secondly, in order to go on the market and to keep the market after the market, it is due to the performance of the company in order to protect the city. Counterfeiting is not easy to find, and the punishment is very low after being discovered. All factors combined together make Xintai electric successfully cheat. Finally, aiming at the emergence of fraud, according to the motivation of fraud, we put forward some measures, such as strengthening moral quality construction, introducing external supervisors, high reputation independent directors, implementing audit rotation system and improving illegal costs.
The Xintai electric event has an important significance in the history of the development of China's security market. The in-depth study of the Xintai electric event can play a vigilant role in other companies that have not been fraudulent. At the same time, the improvement of the Internet infrastructure and the rapid development of intelligent hardware have provided a breeding ground for the growth of the game industry. In an era of the rapid development of the game industry, the study of its profit model is of great significance.
This article is based on the balanced scorecard framework to the DalianZeusEn-tertaimen (DZE) activity were studied. Based on this framework, the aim of this study is to construct an approach using the analytic hierarchy process (AHP) and BSC for evaluating a M&A performance in order for it to become a sustainable business. In this study, AHP is proposed to prioritize and determine weights for the perspectives and indicators included in the BSC for a DalianZeusEntertaimen(DZE). The combina-tion of these weights with different indicator measures produces a model that pro-vides an effective assessment tool for DZE managers. The study concludes that bal-ance score-card is widely used and is an effective tool for measuring performance in organizations. In recent years, more and more film and television enterprises expand the industrial chain through mergers and acquisitions, layout of new media, and achieve diversified development. Although mergers and acquisitions can expand the scale of the company, optimize the allocation of resources, and accelerate the growth of the enterprise, the merger and acquisition process is full of risks, information asymmetry, unreasonable valuation, etc., and the difficulty of merger and integration will make the enterprise struggling, or even lead to the failure of the merger and acquisition. In mergers and acquisitions, cultural media enterprises mainly buy liquid assets (intangible assets), such as copyright, trademark right, brand, franchise, etc., all of which are difficult to be valued reasonably. Therefore, it is very difficult to reflect it in the book. Therefore, enterprises adopt performance commitment in M &A to protect the interests of investors and owners and reduce M &A risks. However, most of the performance promises are made in the context of predicting the future profits of the acquired enterprises. Due to the uncertainties in the future, there are many problems in the process of fulfilling the performance promises.
Based on a comprehensive search and review of relevant theories on M&A performance commitment of listed companies in the media industry and relevant research literature on Hua Yi Brothers' M&A of Dong yang Mei La, this paper combines theory with practice by comprehensively applying literature research method and case analysis method. First of all, the relevant important theories are briefly summarized. Then, simply introduces the general process of Hua Yi Brothers M&A, and from the M&A motives, the processing of merger goodwill and goodwill impairment to the performance, the influence of root impairment, etc., to study the Hua Yi Brothers M&A Dong yang Mei la, explore the problems of merger and acquisition and reorganization of listed companies goodwill processing, in view of the problem put forward the corresponding countermeasures and Suggestions. Finally, the case of Hua Yi brothers acquiring Dong yang Mei la is summarized.
Through this research, this paper holds that the main reasons for the difficulties of performance commitment fulfillment in M&A and restructuring of listed companies in the media industry are three aspects: high premium and high valuation bring high performance commitment, risk of goodwill impairment and the own attributes of cultural media products. Therefore, based on domestic and foreign research theories and methods, this article starts from the corporate social responsibility theory, stakeholder theory, and corporate contract theory, and selects the power companies listed on the Shanghai and Shenzhen stock markets as the population. 50 state-controlled companies of listed companies as a research sample, conducted empirical research on the relationship between social responsibility and financial performance of electric power companies to supplement related research on the relationship between social responsibility and financial performance of state-controlled companies.

However, the stagnation of cross-border logistics limits the further development of cross-border e-commerce. At this time, the emergence of a new logistics model, overseas warehouse, effectively solves the problems existing in the traditional cross-border logistics model, such as long distribution cycle, high cost of return and exchange, and so on.
This paper takes the overseas warehouse as the research object, and tries to explore how to choose the overseas warehouse mode of cross-border e-commerce enterprises. Based on the analysis of the background of the rise of overseas positions, with the help of charts and charts, this paper analyzes the current development situation of the main overseas warehouse models in China (self-built overseas warehouse, FBA overseas warehouse, third party overseas warehouse), compares and analyzes their respective characteristics, and summarizes their respective advantages and disadvantages. Based on the theoretical research of merger performance, this paper analyzes the financial performance before and after merger by using single financial indicators such as solvency, operating ability and profitability. Finally, from the perspective of non-financial, this paper studies the website traffic, brand effect and market share. On this basis, a conclusion is drawn and reasonable suggestions are put forward. Based on the case analysis of Ctrip merger, this paper discusses the motivation and performance of Ctrip merger. from the perspective of financial performance, in the year of acquisition of qunar.com, Ctrip's comprehensive financial ability decreased by a certain extent, and the company is facing the awkward situation of increasing revenue but not increasing profit. Through the follow-up continuous integration, Ctrip's operating revenue increased significantly, and the synergy effect and scale effect gradually appeared one year later. On the basis of combing the current situation of foreign research in China, this paper makes an in-depth study and analysis of the financial statements of Yili Group by using the concept of Harvard analysis framework. At the level of strategic analysis, SWOT analysis is mainly used. It is found that: Yili Group has certain advantages in raw materials, strategic pattern, management and operation, and brand; it has disadvantages in fierce competition for milk resources, serious brain drain, and insufficient individualization and specialization of products; Yili Group's strategic opportunities are reflected in broad market prospects, stable external environment, emerging sales channels, and optimized product structure; strategy The threat comes from the severe market supervision, the threat of potential entrants and the substitutability of potential substitutes. Green CreditAbstract: Based on the background of green credit, this paper empirically tests the correlation between the quality of corporate environmental disclosure information and debt financing ability. This paper takes the environmental information disclosure in the social responsibility report (or other dependent report) of the listed companies in the eight major heavily polluting industries in Shanghai stock market as the research content. First, the scoring project and the scoring rules of environmental disclosure information were established. After reading the social responsibility report and its independent report, the score was manually collected. This score indicates the level of environmental information disclosure. Then choose short-term borrowing increment, long-term borrowing increment and total borrowing increment as explanatory variables to explore the correlation between environmental disclosure information level and debt financing. Then, through empirical analysis, regression analysis and other analysis methods, an empirical study was carried out.
The study found that there is a significant positive correlation between the level of environmental information disclosure information and corporate debt financing capacity. The operational status of the real estate industry can reflect the development of a country’s economy. As the real estate market heats up, the supply and demand in the real estate market have also changed. The change in house prices has become the focus of consumers, affecting the development of the real estate market. Therefore, it is very important to study the supply and demand of the real estate market. This paper takes Fuzhou City in China as an example to study three factors that affect the changes in housing prices in China's real estate industry: GDP, urbanization and local policies. The results of the study indicate that housing prices in Fuzhou are rising, and the reasons for the increase are related to the economic development of the city and local policies and the economic development of the surrounding cities. In order to ensure the stable development of the real estate industry and enable the people to afford the house, this paper puts forward some suggestions for the local government: strengthen the government's real estate management, standardize the housing finance policy, strengthen the land management, and ensure the land supply. Sustainable developmentAbstract: In recent years, the real estate industry has been regarded as a pillar industry of the national economy in China, which has boosted China’s GDP growth. The operational status of the real estate industry can reflect the development of a country’s economy. As the real estate market heats up, the supply and demand in the real estate market have also changed. The change in house prices has become the focus of consumers, affecting the development of the real estate market. Therefore, it is very important to study the supply and demand of the real estate market. This paper takes Fuzhou City in China as an example to study three factors that affect the changes in housing prices in China's real estate industry: GDP, urbanization and local policies. The results of the study indicate that housing prices in Fuzhou are rising, and the reasons for the increase are related to the economic development of the city and local policies and the economic development of the surrounding cities. In order to ensure the stable development of the real estate industry and enable the people to afford the house, this paper puts forward some suggestions for the local government: strengthen the government's real estate management, standardize the housing finance policy, strengthen the land management, and ensure the land supply. In short, the analysis of factors affecting real estate prices will help formulate government policies and promote the healthy and stable development of China's real estate industry.
